These terms govern the use of Whisper for venues and creators.

1. Scope

These terms apply to the relationship between the operator (INSERT_VERIFIED_LEGAL_ENTITY), venues, and creators using the Whisper platform.

2. The service

Whisper is a performance-based UGC marketing service. Guests film their venue visit on TikTok, every video passes a manual brand-safety and tone review, and verified local views are measured via the TikTok API.

3. Venue terms

Venues set a CPM between 3 and 6.50 EUR per 1,000 verified local views. Billing per video is hard-capped at 240 EUR net; reach above the cap is free. An optional license to reuse a top-performing video is 100 EUR. There are no setup fees, no minimum spend, and no contracts; venues are billed monthly and can pause at any time.

4. Creator terms

Creators earn up to 6 EUR per 1,000 verified views, up to 180 EUR per video, plus an optional 50 EUR licensing bonus. Each submitted video earns for 30 days, payouts can be withdrawn from 50 EUR, and there is no follower minimum.

5. Liability

The operator is liable within the limits of applicable law. Nothing in these terms excludes liability that cannot be excluded by law.

6. Term and termination

There is no fixed term. Venues can pause or stop at any time, and either party may end the relationship in line with applicable law.

7. Applicable law and jurisdiction

Applicable law and the place of jurisdiction follow the registered seat of the operator and carry the INSERT_VERIFIED_LEGAL_ENTITY placeholder until that seat is confirmed.

The commercial terms above restate the figures confirmed for the Whisper service. The operating entity and any seat-dependent clauses carry the INSERT_VERIFIED_LEGAL_ENTITY placeholder and must be confirmed before publication.
